End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you and Apical Scientific being the owner and developer of this Online Ordering System ("SOFTWARE"). This EULA is valid and grants the end-user rights ONLY if the SOFTWARE is utilized via our website: www.apicalscientific.com

By accessing or otherwise using the SOFTWARE, you agree to be bound by the terms of this agreement. If you do not agree to the terms of this agreement, you may not use or access the SOFTWARE.

You shall not modify, translate, reverse engineer, decompile or disassemble the SOFTWARE or any part thereof or otherwise attempt to derive source code or create derivative works therefrom.

All intellectual property rights such as but not limited to patents, trademarks, copyrights or trade secret rights related to the SOFTWARE or the products sold via this SOFTWARE are the property of and remains vested in Apical Scientific.

In no event shall Apical Scientific be liable to you for any loss (whether known, foreseeable or otherwise) of profit, indirect loss or damage or incidental or consequential loss or damages resulted from the use of this SOFTWARE.

Apical Scientific’s liability arising out of or in connection with this agreement whether in contract, tort (including, without limitation, negligence) or otherwise shall in no circumstances exceed an amount equal to the price of the services and products order via the SOFTWARE, paid by you.

This Agreement shall continue in effect until either (1) cessation of usage by you; or (2) terminated by Apical Scientific by email notification to you if you are in breach of any of its terms and conditions.

The following describes Apical Scientific standard terms and conditions of products ordered using this SOFTWARE. The list is non-exhaustive and may be revised without prior notice.

1. Pricings mentioned in the SOFTWARE are indicative and not to be taken as the final ordering price. The actual price will be reflected in the Delivery Order that will be accompanying your order. Always request for a quotation from Apical Scientific or our authorised distributor for the exact ordering price.

2. Turnaround or delivery time mentioned in the SOFTWARE are best estimates. Apical Scientific will do everything possible to ensure compliance with or better than the stated delivery time. However, at times there could be situations without our control and thereafter resulting in unexpected delays.

FOR SERVICES

3. All ordered services must be accompanied by their respective Order ID to be labelled on your sample collection card or parcel. The order will be processed based on the information provided in the online platform. Should the information provided is insufficient or inaccurate, Apical Scientific will not be liable for the resulting delay(s) and/or non-performance of service.

4. For service order submission, customers must follow the sample preparation guideline to prepare the order and Apical Scientific will not be held responsible for any such affected non-performance of service.

5. The results of the ordered service will be made available online and end-users can retrieve results using their online ordering account.

6. The result link will be accessible through the online account for 12 months only. For unlimited access, please save the data separately in your preferred storage system (e.g. thumb drive, hard disk, Dropbox, Cloud based storage or etc.). Thumd drive or external hard disk can be purchased at separate fees.

FOR PRODUCTS

7. Delivery will be made to your default delivery address that pre-register with Apical Scientific, which will be available in our Official Quotation to you (if this condition apply).

8. If there is a change of the delivery address, kindly please get our confirmation about this change before processing the new order.

9. We will email you the Order Acknowledgement Notification after processing the confirm order. No changes are allowed after the Order Acknowledgement and cancellation fees will be applied.
